Terms of Service

1. Acceptance of Terms

By accessing or using the VibeVote platform (“Platform”), including the website located at vibevote.fun, any associated APIs, smart contracts, and related services (collectively, the “Services”), you (“User” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not access or use the Services.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement. You are solely responsible for ensuring that your use of the Services complies with all laws, rules, and regulations applicable to you. The Services are not available in jurisdictions where digital asset trading is prohibited.

Sanctions Compliance: You further represent and warrant that you are not: (a) located in, under the control of, or a national or resident of any country to which the United States, European Union, or United Nations has embargoed goods or services; (b) identified as a 'Specially Designated National' (SDN) by the U.S. Treasury Department; or (c) placed on any sanctions list. We reserve the right to restrict access from sanctioned regions.

3. Nature of the Platform

VibeVote is a decentralized protocol that enables users to submit open-source projects and trade project-associated tokens on the Solana blockchain. The Platform provides a user interface to interact with autonomous, immutable smart contracts deployed on the Solana network.

The Platform does not operate as a broker, exchange, custodian, or financial advisor. We do not custody, control, or have access to your digital assets at any time. All transactions are executed directly between your wallet and the on-chain smart contracts without intermediaries.

NO ENDORSEMENT OR VETTING OF PROJECTS: VibeVote is a permissionless protocol. We do not endorse, audit, vette, verify, or guarantee the safety, legitimacy, or code quality of any projects, creators, or tokens submitted to the Platform. Users can, and likely will, submit fraudulent projects. You agree that VibeVote is strictly an interface and is not liable for 'rug pulls', liquidity drains, deceptive marketing, or any fraudulent activities perpetrated by third-party token creators.

4. No Investment Advice

THE PLATFORM FACILITATES THE CREATION AND TRADING OF HIGHLY VOLATILE DIGITAL TOKENS WHICH HAVE NO INTRINSIC VALUE, NO PROMISE OF FUTURE RETURNS, AND NO EXPECTATION OF PROFIT DERIVED FROM THE MANAGERIAL OR ENTREPRENEURIAL EFFORTS OF VIBEVOTE, ITS DEVELOPERS, OR ANY THIRD PARTY.

NOTHING ON THE PLATFORM CONSTITUTES AN OFFER TO SELL, A SOLICITATION OF AN OFFER TO BUY, OR A RECOMMENDATION FOR ANY SECURITY. VIBEVOTE IS NOT REGISTERED AS A BROKER-DEALER, EXCHANGE, OR INVESTMENT ADVISOR IN ANY JURISDICTION. YOU ACKNOWLEDGE THAT TRADING THESE TOKENS IS FOR NOVELTY, SOCIAL, OR ENTERTAINMENT PURPOSES ONLY. THERE IS A HIGH PROBABILITY THAT THE TOKENS WILL DROP TO ZERO VALUE.

5. Risks

You acknowledge and accept the following risks associated with using the Services:

• Total Loss of Funds: Digital asset trading is inherently risky. You may lose some or all of your invested capital. Token values can drop to zero.
• Smart Contract Risk: While our smart contracts are developed with care, they may contain bugs or vulnerabilities. Interaction with smart contracts carries inherent risk of loss.
• Blockchain Risk: Transactions on the Solana network are irreversible. Network congestion, outages, or protocol changes may affect your ability to transact.
• Regulatory Risk: The regulatory landscape for digital assets is evolving. Future regulations may adversely affect the Services or your ability to use them.
• Market Manipulation: Market prices on decentralized protocols can be subject to manipulation. Trade at your own risk.
• MEV and Slippage Risks: You acknowledge that transactions on decentralized exchanges and bonding curves are subject to front-running, sandwich attacks, slippage, and Miner/Maximum Extractable Value (MEV) exploitation by third parties. We are not responsible for any financial losses resulting from these activities.

6. User Responsibilities

• You are solely responsible for the security of your wallet, private keys, and seed phrases.
• You are solely responsible for all transactions you initiate through the Platform.
• You will not use the Services for any unlawful purpose, including money laundering, terrorist financing, or any activity that violates applicable law.
• You will not submit fraudulent projects, impersonate other developers, or engage in deceptive practices.
• You will not attempt to exploit, attack, or disrupt the smart contracts or Platform infrastructure.

7. Intellectual Property

Projects submitted to the Platform remain the intellectual property of their respective creators. By submitting a project, you represent and warrant that you have the necessary rights to submit the project and its associated metadata. The VibeVote name, logo, and brand elements are the property of VibeVote and may not be used without prior written consent.

8. Fees

The Platform charges protocol fees on buy and sell transactions as defined in the on-chain smart contracts. These fees are transparently distributed to token holders, the prize pool, project developers, the team, and token burn as defined by the immutable smart contract logic. You acknowledge and accept these fees when using the Services.

9. Disclaimer of Warranties

THE SERVICES, INCLUDING THE DECENTRALIZED PROTOCOL, SMART CONTRACTS, AND ALL ASSOCIATED FRONT-END INTERFACES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AT YOUR OWN STRICT RISK. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, THAT THE SERVICES WILL BE SECURE, ERROR-FREE, OR FREE OF VIRUSES, BUGS, OR EXPLOITS. WE ARE NOT RESPONSIBLE FOR ANY LOSSES ARISING FROM BLOCKCHAIN NETWORK CONGESTION, DOWNTIME, RPC NODE FAILURES, COMPROMISED HARDWARE OR SOFTWARE WALLETS, UNAUTHORIZED THIRD-PARTY ACCESS, FLASH LOAN ATTACKS, OR EXPLOITS OF THE SMART CONTRACTS. YOU INTERACT WITH THE ON-CHAIN AUTONOMOUS LOGIC SOLELY AT YOUR OWN PERIL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIBEVOTE, ITS CORE CONTRIBUTORS, DEVELOPERS, OPERATORS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL, OR EXTREME DAMAGES, INCLUDING LOSS OF PROFITS, DIGITAL ASSETS, OR TOKENS, ARISING OUT OF VULNERABILITIES IN SMART CONTRACTS, LOSS OF PRIVATE KEYS, SEED PHRASES, UNAUTHORIZED WALLET CONNECTIONS, REGULATORY ENFORCEMENT ACTIONS, OR ANY MALICIOUS THIRD-PARTY EXPLOITS (E.G., HACKS, PHISHING). YOU WAIVE ALL RIGHTS TO ASSERT CLAIMS FOR DAMAGES ARISING FROM THE ACTIONS OR OMISSIONS OF THIRD PARTIES, INCLUDING PROJECT CREATORS.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless VibeVote, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or project you submit through the Platform.

12. Third-Party Services

The Platform may integrate with or link to third-party services, including but not limited to Solana blockchain, wallet providers, token analytics platforms, and social media services. We are not responsible for the availability, accuracy, or content of such third-party services, and your use of them is governed by their own terms and privacy policies.

13. Modification of Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Services after any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

14. Termination

We may suspend or terminate your access to the website interface (vibevote.fun) at any time, with or without cause, and with or without notice. However, you acknowledge that the underlying smart contracts are deployed on the public Solana blockchain. We do not control your ability to interact directly with these smart contracts outside of our website interface. Upon termination of interface access, Sections 9, 10, 11, and 14 shall survive.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands (BVI), without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Smart Contracts, shall be settled by binding conditional arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Rules of Arbitration. The seat of arbitration shall be Road Town, BVI, and proceedings shall be conducted confidentially in English.

CLASS ACTION AND JURY WAIVER: You expressly waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against VibeVote.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VibeVote regarding your use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
